4. Subscription and Fees

4.1 Pricing

Access to our Services requires a paid subscription. Pricing is based on your selected plan and usage levels as described on our pricing page or in your service agreement.

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms or your service agreement.

We reserve the right to modify our pricing with 30 days' prior notice. Price changes will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Transmit malicious code or harmful content
• Use the Services to compete with AI Tech Logistics
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Services without authorization

6. Data and Privacy

6.1 Your Data

You retain all rights to the data you upload to our platform ("Customer Data"). You grant us a limited license to process your Customer Data solely to provide the Services.

6.2 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

6.3 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

The Services, including all software, algorithms, AI models, documentation, and content, are owned by AI Tech Logistics and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Services as provided herein.

8. Service Level Agreement

We commit to maintaining 99.9% uptime for our Services. Specific service level commitments, credits, and remedies are detailed in your service agreement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI TECH LOGISTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless AI Tech Logistics and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

12. Termination

Either party may terminate the subscription with 30 days' written notice. We may immediately suspend or terminate your access if you breach these Terms. Upon termination:

• Your right to use the Services will cease immediately
• You may request export of your Customer Data within 30 days
• We will delete your Customer Data after 90 days unless legally required to retain it

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes through the Services or by email. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and AI Tech Logistics regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our prior written consent.
